JOB FUNCTION / SUMMARY: The Director of Loan Syndication has responsibility for developing and implementing a standardized firm-wide platform for lead agented multi-bank club and Shared National Credit ("syndicated") loan transactions. The Director will actively participate in the structuring, negotiation and post-closing administration agented, multi-bank Hancock Whitney Bank ("Hancock Whitney" or the "Firm") transactions which include all geographic territories and the Healthcare Banking industry vertical. The Director will also provide guidance, market intelligence and oversight of the overall syndicated loan portfolio. ESSENTIAL DUTIES & RESPONSIBILITIES:* Develop and implement standard, Firm-wide processes for loan syndications, including:* Create and implement syndication origination procedures and roles and responsibilities to direct the marketing and execution of agented syndication transactions (see below)* Lead effort to review and update credit policies to conform with industry best practices* Ensure all syndication activities conform to credit policies and government compliance regulations* Provide regular reporting and oversight to senior business and credit risk leadership to ensure timely understanding of the firms syndicated lending activities* Ongoing monitoring of previously closed agent transactions to ensure Hancock Whitney meets all fiduciary responsibilities as the Administrative Agent* Maintain industry contacts and dialogue to gather and disseminate timely and relevant market intelligence and identify emerging trends that may adversely affect the risk assumed by the Firm in syndicated transactions* Develop form documents, including credit agreement, commitment letters, confidential information memorandum, lenders presentation and closing deal files* Establish "highly confident" and "sell down" or similar process, in conjunction with credit risk management, for fully underwritten multi-bank transactions* Provide oversight and guidance to syndicated transactions where the Firm is acting in a participant role to ensure compliance with credit policy, legal documentation and risk tolerance parameters within the syndicated portfolio * Collaborate with the relationship management teams to win agented mandates with best efforts to achieve the Firm's desired hold level:* Support origination efforts across the commercial bank, including customer and prospect meetings and presentations* Evaluate prospective borrower credit and other risks, including market acceptance of any proposed lending structure, in conjunction with credit risk management and senior leadership* Establish procedure for early screening and conduct screens with relationship management, senior leadership and credit risk management consistently* Provide guidance to internal partners for pricing, structure, covenant levels and other key terms in a manner consistent with current syndicated loan market conditions for the transaction being considered* Lead the execution of mandated, agent-role syndicated transactions, including:* Commitment and engagement letter process* Due diligence process* Creation of marketing materials (Marketing Term Sheet, Financial Projection Model, Confidential Information Memorandum and Lenders Presentation)* Participant lender invitations and communication* Datasite usage (SyndTrak, Intralinks, etc)* Lenders' Meeting arrangement and details* Lender questions and information requests* Syndication tracking and borrower updates* Closing loan documentation * Maintain relationship and dialogue with syndication groups and trading desks from other institutions to ensure visibility by the Firm of syndicated participation opportunities and keep senior management informed of such opportunities to develop additional loan origination transactions, as desired* Develop the operational infrastructure, working closely with credit and loan operations, to manage the loan syndication and participation activity of the Bank including the operational aspects for supporting the on-going functions required for this line of business.* Maintain a good working relationship with upstream and downstream correspondent banking partners to assist in the loan participation function and build additional business opportunities with correspondent banks. The function is an on-going part of the job and the incumbent will represent the Bank externally to clients and other financial institutions.* Work with Relationship Managers by maintaining the Bank's loan syndication and participation book including managing the electronic data warehouse for distributing appropriate credit information.* Analyze credit trends in the Capital Markets and local lending markets and incorporate the relevant trends into the Bank's loan pricing discipline.* Responsible for managing a list of approved correspondent bank counterparties to use in loan participation transactions.* Identifies trends and recommends improvements accordingly* Interprets and applies corporate financial policies and government legislation.* Establishes databases of pertinent information for use in analyzing future plans and forecasts.* Makes recommendations to management regarding cost saving or profit generating opportunities and profitability improvement strategies Secondary Duties* Reviews current loans to ensure loans are current and conform to terms, and monitors loans to identify developing trends which may adversely affect loan arrangements that have been participated with other financial institutions.* Represents the bank in civic, community and industry activities as required.* Keeps informed of current economic conditions and legislation which may affect client relationships and the Wholesale Banking Department.* Performs other related job duties and special projects as assigned.* Incumbent is required to comply with all applicable federal, state and local banking and industry related laws and regulations including but not limited to the bank Secrecy Act.* Incumbent is responsible for organizational integrity and business ethics as it relates to this position, and communicating this commitment to any applicable subordinates. SUPERVISORY RESPONSIBILITIES: This job will have supervisory responsibilities as the operational aspects are built out. Directly supervises employees in the department and carries out supervisory responsibilities in accordance with the organization's policies and applicable laws. Responsibilities include interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; rewarding and disciplining employees; addressing complaints and resolving problems. MINIMUM REQUIRED EDUCATION, EXPERIENCE & KNOWLEDGE:* Bachelor's degree* Master's degree preferred* 10 years of experience in the loan syndication market including marketing and leading syndicated loan transactions* Commercial credit training and commercial lending experience dealing with larger corporate borrowers as well as financial institutions* Working knowledge and understanding of the fixed income capital markets ESSENTIAL MENTAL & PHYSICAL REQUIREMENTS:* Ability to work under stress and meet deadlines* Ability to operate related equipment to perform the essential job functions* Ability to read and interpret a document if required to perform the essential job functions* Ability to travel if required to perform the essential job functions* Ability to lift/move/carry approximately 10 pounds if required to perform the essential job functions.
